How a Business Search Works in Oklahoma

The Business Filing Department of the Oklahoma Secretary of State, at 421 Northwest 13th Street in Oklahoma City and on 405-522-2520, files the certificates of incorporation, articles of organization, trade name reports and annual certificates that make up the Oklahoma register, and its business services page gathers the tools: a business entity search, a name availability search, online filing of annual certificates and new entities, and an orders page for good standing certificates, copies, information printouts, entity details and certificates of fact.

The business entities search takes an entity name with an advanced search beside it, calls itself a preliminary search, and opens the detailed record from the hyperlinked filing number. The fee page says what is free: for any business entity, the name availability search, the entity information, the filing number, the entity type, the state of incorporation and the registered agent name and address, and for trademarks and notaries everything on file. For Oklahoma businesses by place, see the Oklahoma county pages.

  • Twenty five dollars, on the anniversary: the annual certificate of an Oklahoma or foreign LLC, due on the formation date each year with sixty days of grace.
  • Terminated or Expired: the status an LLC or LP shows once the grace period passes without a certificate, meaning not in good standing.
  • Twenty dollars: a Certificate of Good Standing for a corporation, LLC or limited partnership, ordered by filing number.
  • Fifty dollars, before half past four: same day service on a document brought to the counter, where ordinary drop offs cost nothing extra.

The annual certificate, the sixty days and the inactive status

Oklahoma does not file a report in the usual sense. The fee page lists an annual certificate for an Oklahoma or foreign limited liability company at twenty five dollars under Section 2055.2 of Title 18, for a limited partnership at fifty dollars under Section 311.1 of Title 54, and a corporate annual certificate under Section 1142 at a minimum of ten dollars computed as one tenth of one percent, alongside an annual agent fee of forty dollars for an LLC and one hundred for a limited partnership.

The questions page explains the status a search returns: Terminated or Expired means the LLC or LP is not in good standing because of a late annual certificate, which falls due on the formation date each year with a sixty day grace period, after which the entity becomes inactive and not in good standing. The inactive date and the number of years owed are not shown online; the Annual Certificate Department gives them on 405-522-2822.

Reinstatement needs no fee of its own: a reinstatement form, downloaded from the forms page under the entity type, is filed with an annual certificate for each year past due.

What twenty dollars and ten dollars buy

The orders page describes a Certificate of Good Standing as evidence that a corporation, limited liability company or limited partnership is in good standing with the office, and certified copies as copies of any single document or of everything an entity has filed, certified true and correct; both are ordered by filing number, with a search icon for anyone who does not have it. On the fee page a Certificate of Good Standing costs twenty dollars, as do a certificate of name change, of no record, of ouster, of proof of service and of suspension; a certificate of fact, or one reciting all suspensions and reinstatements, costs twenty dollars plus ten for each additional page; certifying a copy costs ten dollars under Section 111 of Title 28; and viewing entity details for one to three entities costs five dollars, with the details covering the correct name, status, registration date, registered agent and office, state of domicile, authorized shares and par value, amendments, name changes, mergers and trade names.

Bulk buyers pay five hundred dollars for a master download of the business entities database and one hundred fifty for a weekly filing update.

Speed, hours and the counter

Documents may be presented in person, mailed, faxed or submitted online, and the business services page sets the two speeds for the counter: a document dropped off costs nothing extra and is processed in order of receipt, and a document presented with fifty dollars more per document receives same day service. A business filing delivered in person must arrive before half past four Central time to be processed that day; later filings wait for the next business day.

Certificates of formation can be filed online around the clock, and the questions page notes that the office cannot help choose an entity type, does not issue employer identification numbers, and files no document that makes a corporation an S, C or 501(c)(3) company, since those are federal designations. The steps to start page adds that a name reservation holds a name for sixty days, that it is not a registration, and that the office answers formation questions on 405-521-3912.

Names, trade names and what a filing does not protect

The name availability search is a preliminary check, punctuation removed, with the final decision left to the Business Filing Department when a reservation or formation is filed. Filing a certificate of formation, the questions page says, only prevents the office from filing another entity with a name it finds the same or indistinguishable; it does not keep anyone else from using the name, and every business must protect its own intellectual property.

A trade name report costs twenty five dollars under Section 1142, a transfer or withdrawal of a trade name twenty five, and a partnership fictitious name certificate fifty under Section 1-105 of Title 54, all filed with the Secretary of State, so an Oklahoma DBA shows in the entity details rather than at a county office. Formation itself is priced at a minimum of fifty dollars for a for profit corporation, computed as one tenth of one percent of authorized capital, one hundred dollars for articles of organization of an LLC, twenty five for a nonprofit, three hundred for a foreign corporation or LLC registering to do business, and one hundred for a certificate of limited partnership.

Registered agents, and the people the record names

An Oklahoma registered agent may be an individual resident of the state or a domestic or foreign corporation, LLC or limited partnership on the office records and in good standing, or the entity itself when it files for an Oklahoma entity, and the registered office must be a physical Oklahoma address where the agent can be personally served in normal hours. The agent name and address are among the facts the office gives free, and an appointment or change of agent costs twenty five dollars, with a resignation twenty five and a resignation coupled with a successor appointment fifty.

What the record does not name is ownership: the questions page and the orders page describe officers, agents, shares and par value, not shareholders or LLC members, and the Oklahoma people search guide lists the state sources for the people behind a company. For a dispute over an Oklahoma company, the Oklahoma court records guide covers the OSCN and ODCR case networks.
